The importance of IP is well understood, as exemplified by a few companies that are looking at patents as the only products being generated and ‘exploited’- these are the companies who have understood and leveraged it very well. But in general, the management and utilization of patents is still not done at its maximum potential. It is well accepted that getting maximum returns from each patent filed is highly desirable, but how it can be achieved is not very well known. Of course, there is no very quick, easy-to-apply solution for this, but there are simple and effective steps that need to be undertaken to achieve it.

One of the most important aspects of commercialization of intangible assets involves assessing and putting a value to them. In order to achieve this, a thorough investigation of the patent portfolio and the associated know-how becomes critical, commonly known as Due Diligence. Due Diligence, by its very definition, means the investigation of a business and its processes, and ensuring that the processes are given its ‘Due’ and done with ‘Diligence’. Thus, a Due Diligence exercise is done on any aspect, and is an intensive effort that unearths risks and uncovers hidden potential. Conducting Due Diligence on IP related assets takes on several flavours and results in findings that are, among other things, assessing risks and threats, identifying gaps and opportunities, and provides an input for valuation of assets.

Patent valuation is probably one of the most difficult tasks available to any auditor. This requires knowledge of the market size, strength of a patent, competitors’ position, resources required to develop the intellectual property, and so on. This is an important task to ascertain the wealth of any company and leads to the decision to own or transfer the rights to the assets. Thus a selling or a licensing deal can be sought. Subsequently, the appropriate partner for this transaction needs to be identified. Following this, a deal has to be carefully and skilfully negotiated to ensure a win-win situation for all parties involved.
